The course focuses on the analysis of the communication of the financial reporting and its transparency as a necessary condition for the effectiveness of the market functioning. The course includes the role of financial (and non financial) reporting both in the context of the company's ordinary management and during extraordinary transactions or events different from the recurring activity. A specific analysis is carried out on audit activity and the relevance of the internal control system for the audit and for the related services. With regard to the internal control system, analyses are carried out on its general principles.
Course Prerequisites
No specific prerequisites are required in order to effectively learn the concepts exposed within the course. However, a knowledge of the main features of corporate bodies, the characteristics of corporate systems of administration and control and related regulations may provide a good basis for a better learning process of the course content.
Teaching Methods
The course will be conducted mainly through face-to-face lectures, using Power Point presentations, made available to students in the teaching section on the platform KIRO. Supplementary documents, such as company financial statements, regulatory texts, professional standards, etc., may be used.
Assessment Methods
Verification of learning will be done by a write/an oral examination. In determining the assessment, consideration will be given, in addition to the knowledge acquired, to the ability to communicate with appropriate language.

The teaching materials consist of the presentations used by each lecturer in the course of the lecture, which will be made available to students on the Kiro platform, where any additional documentation useful for better learning of the course content will also be made available, as well as any additional references, including regulatory references.

Financial information supporting the stakeholders during extraordinary transactions - Auditor's assurance: introduction and overview -the role of financial communication during the business life -Extraordinary transactions: distribution of dividend payments -issue of shares with the exclusion of option rights -member withdrawal - conferring company, company transfer, merger -IPO/OPA - due diligence and covenants.
