This course aims to provide students with: (i) a good comprehension of special legal features of business law, in comparison with general private law, and their reasons; (ii) the ability to orient in the various sources of business law, having particular regard to UE law and soft law; (iii) a good knowledge and comprehension of the multiple conflicts of interests within various business entities (partnerships, companies).
Course Prerequisites
A positive outcome in the first year "Diritto Privato II" course is required to take this "Diritto commerciale" course. Students are recommended to have a good knowledge of law of contract and law of tort.
Teaching Methods
The course is run through lectures, which can be supplemented by seminar meetings with scholars or company representatives.

Contents
The course considers the main legal features of the firm (notion, types of business (profit/non profit, privately/publicly owned, etc.), IP rights, competition rules) and then focuses on main business entities (partnerships, public companies). In the end, brief analysis of extraordinary transactions (conversions, mergers, demergers).
