Syllabus

Course Objectives

The course is designed to provide economics and management students with the essential knowledge to grasp the influence of legal rules on the production and distribution of goods and services. Moreover, it aims to foster an understanding of the legal consequences associated with business decisions.
By the end of the course, students will be able to comprehend the role of legal rules in governing the mechanisms of wealth production and circulation. They will have developed the skills to legally analyze and resolve basic cases. Additionally, they will be able to identify issues arising from the application of legal rules and articulate their solutions clearly and concisely.

Course Prerequisites

The course requires only a good knowledge of Italian language

Teaching Methods

• Lectures will focus on the economic reasons that justify private law rules. Particular attention will be paid to the application of legal rules, which will be illustrated by cases and examples.

• Students who do not attend lectures will prepare the exam studying the textbook - limited to the pages listed below - together with the civil code. It is advisable not to prepare the exam on notes taken by fellow students, but to study the textbook.

• For students who attend lectures, the course is structured in such a way as to minimize the amount of time devoted to individual study. During the course, the lecturer points out the parts of the program that have to be studied individually (reading the textbook), selecting those that are less difficult to understand. The goal is to minimize the individual study necessary to prepare the exam, and to concentrate it on the parts of the program that are less difficult to understand. Attending students are also invited to consult the civil code, which is the basis of the lectures.

• PowerPoint slides are available on the University teaching platform (Kiro) and will be projected during the lessons.
They are designed to perform a dual function. On the one hand, they intend to encourage students to attend the lectures, as they outline the structure of the topics illustrated by the lecturer, indicating the normative references relating to them: with the support of the slides, students will be able to attend lectures and take notes more easily. On the other hand, they offer students - attending or not attending lectures - a useful tool to revise the main contents of the course.

• In no case, the slides can replace attending lectures or studying the textbook. This is due to the fact that slides illustrate the main contents of the course with an inevitably schematic approach.

• Examples of questions similar to those that will be proposed during the exam are also available on the University teaching platform.

Assessment Methods

The exam takes place through a written test with open answers. There are two alternative forms, chosen by the student. The choice is communicated to the teacher by indicating the chosen form (a or b) in the "notes" box when registering for the exam.

(a) Form suggested for non-attending students, but available for attending students as well.

It includes five questions related to the topics of the exam program. The answers imply the knowledge of rules and foundations of private law, but not insights into their application to practical cases.

Each answer is evaluated with a maximum of 6 points. Honors are awarded to students who answer not only correctly and completely, but also technically appropriately to the five questions proposed.

Time allowed for the exam is 90 minutes.

Consultation of the civil code is not permitted during the test.

Example of questions: the right of usufruct; debt compensation.

(b) Form suggested for actually attending students, but available for non-attending students as well.

Three simple cases cases are outlined; with reference to each of them, a few questions are posed.

The answers, therefore, imply not only the knowledge of rules and foundations of private law, but also insights into their application to practical cases.

Each answer is initially scored with a maximum of 10 points. To account for the test's increased difficulty, an additional 4 points are awarded. Therefore, if the student's responses to the three cases are each given a score of 6 points, the final grade will be 22 (18 points for the answers and 4 additional points). The extra 4 points are granted only if the student demonstrates sufficient knowledge of the subject matter. Hence, if the answers receive a score below 18, the four additional points cannot transform an insufficient test into a passing one.

Honors are awarded to the student whose test obtains the evaluation of at least 33 points.

The time allowed for the exam is 90 minutes.

Consultation of the civil code is not permitted during the test.

Example of case and connected questions
X concludes a “preliminary contract” with which he promises for sale to Y a flat located in the center of Pavia. At the conclusion of the contract, Y pays X a down payment of € 35,000. At the expiry of the deadline set for the conveyance of the property, Y summons X to appear before the notary. X refuses because his son, who has just got married, is interested in moving into the apartment.
In what form should the preliminary contract be concluded? Can the latter be recorded in the real estate register log? What legal actions Y is entitled to file against X for his refusal to convey the property of the flat ? Could X refuse to convey the property simply returning the € 35,000 received at the time of the preliminary contract to Y?

The examination results will be communicated via the Esse3 system. Acceptance or rejection of the grade must be carried out in accordance with the current University teaching regulations.
