The aim of the course is to provide students with a good knowledge of Italian law of partnerships and companies, considered as special branches of private law. At the end of the course, students are expected to gain the ability (i) to fully understand the legal issues connected with the formation, financing, organization and management of both partnerships and companies, as well as (ii) to provide a juridical qualification to practical cases involving such business entities. Students are also encouraged to develop an adequate ability to critically approach some theories and doctrines which have been formed, in the case law and in legal literature, about the topics of the course.
Course Prerequisites
Prerequisites: private law. It is required to have already studied and passed the private law examination.
Teaching Methods
Lectures. Reading and explanation of civil code norms, projection of slides setting out the salient points of the topics covered and relevant normative references. Students are expected to participate in the lectures by reading the norms and answering questions posed in the classroom. During the supplementary seminars, students will have the opportunity to try their hand at expounding on a topic from the syllabus.
Assessment Methods
The examination lasts one hour and is written with 10 fill-in-the-gap questions, 9 multiple-choice answers and 3 open questions. The grading scale ranges from 0 to 30 (31), with the test being passed if 18/30 is achieved. Each correct multiple-choice and fill-in-the-blank question awards 1 point for a total of 11 points. Each open question awards up to 4 points (up to 12 points in total). Failure to answer open-ended questions shall result in a penalty of 2 points (-2 per question, up to -6 points in total). For open-ended questions, the ability to explain in technical, correct and appropriate language will be assessed. The test will last one hour. The use of the Civil Code or other supporting material is not permitted during the test. The result of the examination will be communicated via the esse3 system. Acceptance or rejection of the grade must take place in accordance with the current University teaching regulations. Supplementary seminars are planned during which students may present a topic from the syllabus. The presentation will be assessed with a score that will form part of the exam voting.
