In-depth knowledge of the main problematic profiles related to the Italian company law (in particular of both the s.p.a. and s.r.l). At the end of the course the student is expected to know the rules governing the financing of the company, the operations on their own shares, the operations on the capital and the governance of both the s.p.a and the s.r.l.
Course Prerequisites
A general knowledge of the fundamentals of civil law and an adequate knowledge of corporate law are both required
Teaching Methods
Lectures and discussion in the classroom. The Professor encourages also the students' participation through questions according to a Socratic method of teaching.
Assessment Methods
Oral examinations and, optionally, the presentation by the students of readings that deepen the topics covered in class.
