Syllabus

Course Objectives

The course will cover both business-to-business and business-to-consumer contracts, with special attention given to asymmetric contractual relationships.

Lectures aim to offer a clear and comprehensive understanding of contracts as a valuable resource for running a business.

The lecturer, along with students, will analyze practical cases from legal precedents. The goal is to equip students not only with a fundamental knowledge of the subject but also with a research methodology for effectively approaching legal issues related to business contracts.

By the end of the course, students will be able to comprehend the role of contracts in economic activities and address the key practical challenges related to them. They will also be equipped with research skills to independently explore topics beyond the scope of the course due to the breadth of the subject.

Course Prerequisites

The course requires a basic knowledge of the foundations of private law, which, anyway, will be briefly recalled by the lecturer

Teaching Methods

Different didactic methods are going to be employed for attending and non-attending students.
For attending students, the course is based on the interaction with the teacher. Students will prepare for the exam studying notes taken during the lessons integrated with the statutory and case-law materials provided by the teacher through the IT platform of the University (Kiro). Lectures will be structured in order to encourage interaction between lecturer and students.

Students who will not be able to attend classes regularly will prepare the exam studying the text below, with the feedback of the Civil Code and other statutory materials.

Assessment Methods

The exam format will differ based on whether students have attended the lectures or not.

For lecture attendees, the exam will involve writing a short paper on a topic agreed upon with the lecturer. The completed paper must be emailed to the teacher (giustino.veri@unipv.it) at least 7 days before the exam date. The exam itself will consist of a discussion of the paper, along with additional questions on the topics covered during the lectures.

On the other hand, students who did not attend classes or attended in academic years prior to 2022/2023 will take an oral interview. The interview will assess their knowledge acquired through self-study using the textbook or attending lectures in the respective academic year.

Texts

Lecture attendees will prepare for the exam studying notes taken during the lectures, supplemented by the materials provided by the teacher through the University's teaching platform. It is therefore not recommended a textbook, but only a good edition of the Civil Code, like the one published by Zanichelli (2025, edited by De Nova). With particular regard to smart contracts, it is recommended (although not mandatory) the following essay: M. Maugeri, Smart Contracts e disciplina dei contratti - Smart Contracts and Contract Law, Il Mulino, 2021.

Self-study students will prepare for the exam using the following textbook:
S. Monticelli - G. Porcelli, I contratti dell’impresa, Giappichelli, 2025, 2° ediz., two volumes, with exclusive reference to: pp. 1-83; 113-153; 229-245; 271-299; 329-356; 409-445; 461-502. For those who have the 2021 edition, pp. 1-83; 111-151; 213-227; 271-299; 409-445.
